1. Agreement to these terms

These Terms of Service ("Terms") govern your access to and use of the website at fadakai.com (the "Site") and related services offered by Fadak AI Inc. operating as Fadak ("Fadak," "we," "us," or "our") in Ontario, Canada. By accessing the Site or using our services, you agree to these Terms. If you do not agree, do not use the Site or our services.

2. Description of services

Fadak's role is purely consultative. We provide non-clinical information, coordination suggestions, and administrative support for families (for example, scheduling, records coordination, and follow-up logistics as described on the Site). We do not make care, legal, or financial decisions on your behalf, act as your agent for regulated health or legal matters, or guarantee any particular result. Services may be provided under separate written or electronic agreements. Nothing on the Site guarantees availability, timing, or outcomes of any particular service.

3. Not medical care or advice

Important: Fadak is not a regulated health professional, hospital, clinic, or insurer. We do not practise medicine, nursing, or any other regulated health profession. Our offering is consultation and coordination support only; nothing we communicate is medical advice, diagnosis, or treatment. For medical questions or emergencies, contact an appropriate regulated health professional or, in an emergency, call 911 (or your local emergency number).

4. Eligibility and your account

You represent that you have the legal capacity to enter into these Terms under the laws of Ontario. If you use the Site or services on behalf of an organization, you represent that you have authority to bind that organization. You are responsible for information you submit and for maintaining the confidentiality of any account credentials.

5. Acceptable use

You agree not to:

• use the Site or services in violation of applicable law (including Ontario and Canadian law) or third-party rights;
• attempt to gain unauthorized access to our systems, other users, or data;
• transmit malware, spam, or harmful content;
• scrape, harvest, or automate access to the Site in a way that impairs our operations; or
• misrepresent your identity or affiliation.

We may suspend or terminate access if we reasonably believe you have violated these Terms or pose a risk to others or to the Site.

6. Third-party services

The Site may link to or integrate third-party tools (for example, scheduling or videoconferencing). Those services are governed by their own terms and privacy policies. To the fullest extent permitted by law, Fadak is not responsible or liable for third-party content, availability, security, or practices, including any loss or damage arising from your use of those services.

7. Intellectual property

The Site and its content (including text, graphics, logos, and layout) are owned by Fadak or our licensors and are protected by applicable intellectual property laws. You receive a limited, non-exclusive, non-transferable licence to access and use the Site for personal or internal business purposes in line with these Terms. You may not copy, modify, distribute, or create derivative works from our materials without prior written permission, except as allowed by law.

8. Disclaimers

THE SITE AND ANY INFORMATION ON IT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW. We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components. Where disclaimers are not permitted by law, they apply to the maximum extent permitted.

9. Limitation of liability

You use the Site and services at your sole risk. Because our role is consultative only, to the fullest extent permitted by applicable law, Fadak is not liable or responsible for any damages, losses, injuries, costs, or harms of any kind whatsoever arising from or related to your access to, use of, or reliance on the Site or services—including any decisions you or others make after receiving information, suggestions, or coordination support from Fadak. The following paragraphs set out specific categories and caps that apply in addition to this general statement.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW (INCLUDING THE LAWS OF ONTARIO AND CANADA), IN NO CIRCUMSTANCE WILL FADAK, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE OR SERVICES, OR ARISING OUT OF OR RELATED TO ANY SECURITY INCIDENT, DATA BREACH, UNAUTHORIZED ACCESS, LOSS OF DATA, OR CYBER ATTACK, WHETHER OR NOT FADAK HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, FADAK'S TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SITE OR SERVICES SHALL NOT EXCEED THE GREATER OF (A) ONE HUNDRED CANADIAN DOLLARS (CAD $100) OR (B) THE AMOUNTS YOU PAID FADAK FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS BEFORE THE CLAIM.

YOU ACKNOWLEDGE AND AGREE THAT FADAK WILL NOT BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY LOSS OR DAMAGE ARISING FROM OR RELATING TO PERSONAL INFORMATION OR PERSONAL HEALTH INFORMATION, INCLUDING ANY BREACH, UNAUTHORIZED ACCESS, OR MISUSE, EXCEPT TO THE MINIMUM EXTENT REQUIRED BY APPLICABLE PRIVACY LAWS AND THEN ONLY AS EXPRESSLY REQUIRED BY THOSE LAWS.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law (including consumer protection laws in Ontario where they apply to you). If any limitation is found unenforceable, the remaining limitations apply to the fullest extent permitted.

10. Indemnification

You agree to defend, indemnify, and hold harmless Fadak and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees on a solicitor-and-client basis where permitted) arising out of or related to your use of the Site or services, your violation of these Terms, or your violation of any law or third-party rights.

11. Governing law and disputes

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. You agree to submit to the exclusive jurisdiction of the courts of the Province of Ontario located in Toronto, Ontario, for any dispute arising out of or relating to these Terms or the Site, subject to any mandatory rights you may have under applicable consumer protection legislation.

12. Changes

We may update these Terms from time to time. We will post the revised Terms on this page and update the "Last updated" date. Continued use of the Site after changes constitutes acceptance of the revised Terms. If you do not agree, stop using the Site.

13. General

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in effect. These Terms constitute the entire agreement between you and Fadak regarding the Site (except where a separate signed agreement applies to paid services). Our failure to enforce a provision is not a waiver.
